Associate Counsel, Technology Transactions 

In this role you will apply your technology transactional experience to help drive our mission of advancing U.S. leadership in semiconductor technology. 

Every day, with a particular focus on technology transactions and intellectual property issues, you will collaborate with teams across the organization to ensure our groundbreaking initiatives are executed with integrity and in compliance with relevant laws and regulations.

Natcast is a new non-profit consortium created to operate the National Semiconductor Technology Center (NSTC) established by the CHIPS Act. We are bringing together industry, academia, and government to solve the most pressing challenges facing semiconductor research, development, and workforce training. Our efforts will re-establish American leadership in semiconductor technology and secure critical supply chains. 

As an Associate Attorney-Technology Transactions at Natcast, you will be a key member of our legal team, reporting to the Senior IP Counsel and providing support on a wide range of matters, including complex business transactions related to the Natcast’s programs, intellectual property licensing, and general non-profit grantmaking and business activities. With your strong legal acumen and adaptability, you will play a crucial role in helping us navigate complex legal landscapes as we work to shape the future of the semiconductor industry. 

Responsibilities 

  • Draft, review, counsel and negotiate a variety of complex and routine agreements, including transactions involving intellectual property and technology, software licensing, nonprofit-funded research and development agreements, joint development and joint ventures agreements, facilities use agreements for manufacturing and prototyping, IT procurement contracts (including cloud service agreements). 
  • Provide legal counseling on matters related to open source, generative AI, software, platforms for collaborating and sharing IP. 
  • Provide legal guidance and support to cross-functional teams on a broad range of legal and policy matters related to nonprofit governance, government contracting and compliance, grantmaking, research and development, business transactions, and other matters. 
  • Support the development and drafting of IP and AI Policies. 
  • Provide legal counsel on IP protection and enforcement. 
  • Conduct legal research and analysis to support decision-making and risk assessment. 
  • Support Natcast business units through contract template and playbook development, contract interpretation and guidance, and training for Natcast leaders and employees. 
  • Support special projects and initiatives as needed, demonstrating flexibility and a willingness to take on new challenges. 
  • Collaborate with external legal counsel as required. 

Required Qualifications: 

  • J.D. required, must be licensed and currently in good standing to practice law in one or more jurisdictions. 
  • BS or MS in Computer Science, Electrical Engineering or relevant field. 
  • At least 3 years experience as a technology transactions attorney with significant experience drafting, reviewing, negotiating and providing counsel on technology / IP agreements. 
  • Clear writer and tactful communicator. 
  • Creativity, sound judgment, and the ability to work independently. 
  • Ability to deliver practical advice that the client can act on 
  • Strong project management skill. 
  • Collaborate with the team and bring a positive attitude to your work. 
  • Effectively manage outside counsel. 
  • Effectively prioritize and manage multiple projects simultaneously. 

Bonus Points if you have: 

  • Experience with semiconductor R&D 
  • Start-up or in house experience 
  • Experience with nonprofit-funded research and development projects 
  • Cybersecurity or privacy experience
