Commercial Contracts Attorney

Instructure is seeking a talented commercial contracts attorney to join its fast-paced and rapidly growing business. The candidate will gain a wide breadth of experience in a supportive environment. This attorney will be responsible for helping to manage the legal aspects of Instructure’s global commercial and SaaS contracts, purchasing agreements and other commercial contracts worldwide.

What you will be doing:

  • Draft, review, and negotiate SaaS customer agreements with customers and work closely with our sales and customer success teams to close both new and renewal revenue deals
  • Draft, review, and negotiate a wide range of other commercial agreements, including partnership agreements, reseller agreements, vendor agreements, and other agreements that may come up in the day to day operations of a vertical SaaS technology company
  • Innovate and simplify internal contracting processes and standards 
  • Create, review and improve templates, “playbooks,” and policies.
  • Advise sales, procurement and business teams and build solid relationships with employees and customers
  • Assist with other legal support tasks that arise

What you will need to know/have:

  • Juris Doctor (JD) and membership in good standing in at least one state bar or international equivalent
  • Experience drafting and negotiating SaaS sales contracts and license agreements, with specific experience in the Europe, Middle East and Asia regions.
  • A minimum of 2 years of experience with commercial contracts or general corporate transactions in either a top-tier law firm or in-house, preferably with a technology company. 
  • Some specific experience drafting and negotiating SaaS agreements in-house at a technology company preferred.
  • Ability to thrive in a fast-paced, high stakes environment.  Problem-solver, with a pro-business approach. 
  • Passion for partnering with Sales and closing revenue deals
  • Ability to translate between business and technical risk and communicate clearly to business and technical constituencies
  • High attention to detail
  • Multi-tasking skills, organizational, time/decision management skills
