How you’ll be protecting the world:
Venafi is looking for a self-motivated Commercial Contracts Manager, with solid experience in reviewing, drafting and negotiating software license agreements for both subscription and perpetual license models, non-disclosure agreements, vendor agreements, professional services agreements, reseller and other partner agreements, and other software industry standard agreements to provide assistance to our sales and operations teams and facilitate commercial transactions.
As part of the Venafi Legal team, this position will work closely with multiple functional areas in the company, including Sales, Sales Ops and Finance, to identify issues requiring legal/business approval, and work with customers’ and vendors’ procurement/legal/contracts departments to expedite transaction close. The Contracts Manager must be able to interpret contract terms and bring out the issues that need either a business or legal decision.
The Contracts Manager will also be responsible for creating forms, reviewing and approving quotations and proposals created by Sales, obtaining necessary internal approvals and archiving agreements. The successful candidate will be comfortable managing numerous contracts at one time while remaining responsive to and communicative with internal clients. Since this is a newly created position for Venafi the candidate must enjoy the challenge of building a successful function from the ground up.
Job Duties and Responsibilities:
- Draft, review, and negotiate a broad range of commercial agreements, including software license, service level and support services, consulting services, and nondisclosure agreements.
- Review sales quotes and contracts for accuracy to ensure it matches approved quoting guidelines/practices, adheres to contract and licensing terms, and meets revenue recognition policies.
- Assist in the development of a contracts playbook and processes to enable consistency in agreements across commonly negotiated terms.
- Assist in the development and implementation of contract management policies and procedures.
- Effectively collaborate and communicate across multiple cross-functional teams to resolve issues and incorporate input and recommendations into contracts and related documentation.
- Support the development and improvement of template agreements, playbooks, and training materials to efficiently meet business objectives in a risk-balanced manner, focusing on clarity, practicality, and plain English drafting.
- Perform other duties and assignments to support internal stakeholders and enhance and improve processes for the execution of the company's strategies.
- Establish simplification and automation processes to drive efficiency in the PS organization.
- Creative and forward-thinking mindset to evolve and transform the role for greater impact and productivity
- Understand and be conversant in basic privacy concepts and laws
The ideal Venafi Warrior will be armed with:
- Bachelor's degree required; JD a plus.
- Five years of relevant contract drafting and negotiating experience.
- Experience in reviewing and negotiating software as a service (SaaS) and other applicable software license agreements, based on subscription models, service level and support services and professional services agreements while adhering to company policies and procedures.
- Ability to understand contractual issues, assess risk, craft creative solutions, and provide business-focused advice.
- Experience working on global contracts.
- An excellent negotiator with strong influencing skills with the ability to conduct non-adversarial, win-win negotiations.
- Exceptional interpersonal skills needed to interact across all levels.
- Ability to organize and handle multiple projects and priorities in an extremely fast paced environment.
- Flexible mindset, willingness to do hands on work and ability to define a vision for the function.
- Self-starter who requires minimal supervision.

The anticipated pay range for this position is $111,000 to $131,000. This is a general estimate for informational purposes only. The actual salary offered will be determined based on the candidate’s relevant qualifications, experience, and skills.
