The Role: 

As Commercial Counsel you will be a founding member of the Legal team, helping to develop and operationalize key processes and systems. You’ll be the resident point of contact for all things contracts (both vendor and customer facing), but so much more. The ideal candidate will be commercially savvy and practical in marking up agreements. You will delight in educating stakeholders, be focused on deeply learning and understanding the business, and be oriented around building processes that scale.

This is a 100% remote position (with the likelihood of optional travel to team and/or industry events) and will report to our Chief Legal Officer. 

What you'll be doing:

  • Draft, review, and negotiate master services agreements and DPAs with customers and work closely with our Sales, Customer Success and Support teams to close both new and renewal revenue deals
  • Draft, review, and negotiate a wide range of other commercial agreements, including partnership agreements, reseller agreements, vendor agreements, and other agreements that may come up in the day to day operations of a rapidly scaling technology company 
  • Work closely with the Associate General Counsel - Product & Privacy as it relates to drafting disclosure language, updates to terms of service, and other contractual related needs
  • Provide generalist legal advice on a host of related areas that may come up in connection with commercial law, included but not limited to intellectual property, privacy, regulatory, and employment law issues arising from teams such as product, engineering, marketing, or people 
  • Identify gaps and provide resources and training to go-to-market teams as it relates to contracting process, contracting terms, how to speak with customers about frequently asked questions, and more 
  • Work closely with the Senior Legal Operations Manager to maintain and improve contract templates and contract lifecycle management tools and processes
  • Assist with other legal support tasks that arise 

What we're looking for:

  • JD and license to practice law in at least one state
  • At least 4 years of law firm or in-house experience with training in general corporate transactions or commercial contracts
  • Some particular experience drafting and negotiating SaaS agreements and data processing agreements in-house at a technology company preferred 
  • Comfort and confidence, once onboarded, in leading a negotiation process - including concise and persuasive email communications and comments in markups, productive in-person negotiation skills, and right-sized business risk tolerance based on company needs and/or market precedent, as applicable 
  • Passion for partnering with Sales and closing revenue deals
  • Ability to translate between business and technical risk and communicate clearly to business and technical constituencies
  • High attention to detail 
  • A belief and practice that no task is too big or too small
  • Self-initiative that drives a desire for impact and achievement
  • A pragmatic approach to getting things done
  • Comfort with fast-paced environments and aptitude to prioritize and communicate effectively with a variety of stakeholders in such an environment
  • A sense of humor and above all else, a positive attitude 

Preferred, but not required:

  • Interest in privacy matters and other emerging technology law (such as machine learning and AI) preferred 
  • Prior experience in-house and in fast-paced, high-growth environments
  • Experience with contracts management software programs  
  • Experience with legal issues related to intellectual property
