As Commercial Counsel, you will be the primary legal partner for Bazaarvoice’s revenue organization for North America/APAC and negotiate SaaS agreements with some of the world’s biggest brands and retailers. This position is for a highly-organized team player who enjoys strategizing with sales teams to close deals quickly while reducing risk exposure to the company.
To be successful on our team, collaboration and engagement is key. You’re comfortable working with quick turnaround times and are a confident negotiator both internally and externally. You can explain and address legal risks in a way that protects and propels your client’s business forward.

What you'll be doing:
- Primary responsibility will be to advise, draft, and negotiate SaaS main services agreements and other types of ancillary commercial documents, such as amendments, service orders, NDAs and data processing agreements, with a focus on large, strategic customer accounts and global house of brands.
- Draft and maintain currency of revenue-generating contract templates including MSA, influencer agreements, channel partner agreements, product sampling, sponsorships and other relevant documents.
- Provide training to internal clients on a variety of commercial legal topics.
- Build critical relationships with sales and legal colleagues and key stakeholders to effectively provide practical legal and strategic advice to assist the business in meeting its objectives.
- Review and negotiate vendor agreements as needed to support cross-functional teams.
- Serve as the main Legal contact for the Revenue organization and Deal Desk, Tax/Accounting, and Finance Operations for contract and commercial-related matters.
- Support M&A efforts by identifying any MSA modifications or language needs for the new acquisitions.
- Serve as subject matter expert within the Legal team for all commercial related matters.
Candidate requirements:
- JD and/or LLB and licensed to practice law in any US jurisdiction.
- 5 or more years experience as an in-house counsel at a multi-national technology company.
- Strong experience and demonstrated knowledge of the SaaS business model, revenue recognition principles, complex enterprise deal structures and related data privacy and security matters.
- Understanding of commercial practices and contract law, advertising, data privacy, and intellectual property.
- Experience working within a sales environment and working directly with sales professionals across multiple territories, segments and verticals.
- The ability to work both collaboratively as part of a team and on an individual basis without a lot of guidance or oversight.
- Experience working with software engineers and other technical professionals.
- Excellent spoken and written communication skills.
- Ability to multi-task and set priorities.

$110,000 - $140,000 a year
*Base salary ranged noted

At Bazaarvoice, we carefully consider multiple factors when determining compensation, including your background and experience. We also take geography into consideration when we can but are not able to accommodate every location when determining our ranges. These considerations mean that compensation can vary. That said, we expect the base salary for this position to be in the range to be as listed above and will depend on your skills, qualifications, and experience. This role will also be eligible for additional compensation incentives including an annual bonus and other great benefits.
