About the role:
We’re searching for a temporary commercial contract attorney who will provide coverage for our primary commercial counsel from approximately mid-April 2024 through September 2024. You will be responsible for day-to-day commercial sales and vendor contracts and other legal responsibilities. The ideal candidate will be able to independently draft, redline, and negotiate SaaS agreements and other commercial contracts.
We are looking for a candidate who is a quicker learner, can operate independently, is effective at working cross-functionally in a rapid-growth environment, and is excited about being part of a small but growing legal team at a fast-growing technology company.
Responsibilities:
- Independently negotiate all types of commercial agreements (e.g. sales, partnership, vendor), with a primary focus on outbound SaaS commercial agreements such as MSAs, SOWs, NDAs, and DPAs, and advise the business on risk.
- Possess a working understanding of privacy regulations, including CCPA and GDPR, and the ability to translate that understanding into redlines and articulate it in negotiations related to DPAs and commercial contracts.
- Maintain and improve existing contract templates.
- Take the lead in refining playbooks and processes for our commercial contracting activities.
- Collaborate with the team to identify opportunities to centralize knowledge and create scalable processes to increase visibility and expedite communication, alignment, and execution of the legal function.
- Other legal duties as required by our fast-paced growth.
Requirements:
- US licensed attorney in good standing.
- Experience navigating privacy laws (including GDPR and CCPA) and security issues in a commercial negotiation context.
- Experience drafting, redlining, and negotiating complex commercial agreements with a solution-oriented approach.
- Excellent legal and business judgment with the ability both to assess relevant/material risks quickly and to communicate those risks to business partners in plain English.
- Experience managing workload in a high-pressure environment with competing demands.
- Experience utilizing Ironclad, our contract lifecycle management systems, is a plus.
- Experience working at a software/SaaS company or working with software/SaaS clients preferred.
- Good sense of humor, interest in learning new things, and a willingness to jump in and help colleagues get things done.
