Commercial Counsel
Hello. I’m Monet, the Head of Business Operations at IPinfo, a fast growing “data as a service” provider delivering accurate and proprietary data products to thousands of developers and enterprises around the world. Our data is used to enrich applications and services with accurate IP data to de-anonymise web traffic, personalise experiences and manage security risks. We’re at an exciting stage of growth and I’m hiring a talented and ambitious Commercial Council to support us in negotiating and owning all aspects of our contractual engagements with customers, partners and suppliers.
The Opportunity
Our company is experiencing hyper growth so we are growing our team at IPinfo.io with the addition of our first legal role of Commercial Counsel. This is an exciting opportunity for an outstanding business-minded commercial attorney. This is not your typical Commercial Counsel role. Sure, it has all of the usual legal responsibilities, but it’s also an opportunity for you to make a mark at a growing global company.

You are equally comfortable operating within clearly defined boundaries and in situations with a high degree of ambiguity and uncertainty. You will combine your legal expertise, business aptitude, and insight to design to support a world-class, agile commercial and transactional legal function. This role reports to our Business Operations Function and can be based anywhere in the United States.
What You Will Be Doing
- Engaging with go-to-market business partners to understand their operational objectives and challenges and learn how the Commercial Counsel can serve as a strategic partner;
- Providing comprehensive and coordinated legal support across commercial functions, including sales, marketing, customer success, and product development;
- Reviewing, drafting, and negotiating complex commercial agreements, including customer, service, license, consulting, vendor, and data processing agreements;
- Creating and improving contract templates, playbooks, and processes to support the business team;
- Providing strategic guidance to assess and mitigate legal and business risk;
- Conducting or coordinating research on a variety of legal issues to support the go-to-market teams; and
- Engaging with internal and external personnel and resources to improve effectiveness and efficiency of legal services.
About You
- Juris Doctorate
- Outstanding academic credentials and active member in good standing of the ABA and/or your State's Bar Association.
- At least seven years’ relevant work experience including both law firm and in-house experience.
- Commercial transactional experience with technology emphasis.
- Experience working with DPAs and international privacy compliance and contracts.
- Experience drafting/negotiating data processing agreements and related documents, and reviewing contracts for compliance with specific regards to international data security and privacy laws.
- Able to work both independently and collaboratively, meeting demanding deadlines and managing complex projects in a fast-paced environment.
- Highly organized and exceptionally responsive to internal customers.
- Sound and practical business judgment with ability to think strategically and establish trusted relationships with business teams.
- Proven ability to balance competing risks and priorities.
- Excellent communication skills with a demonstrated ability to effectively and proactively provide quick, concise, and practical legal guidance and support, reframing challenges into opportunities.
