We are seeking an experienced, strategic Corporate Counsel to join our Legal Department and lead contract negotiations, guide deal structuring, work with our product and partner teams, and provide general legal support. Role Overview

As Corporate Counsel you will report to our Chief Legal Officer and collaborate to provide strategic and pragmatic solutions to the business.

Your key responsibilities will be to:

  1. Analyze complex legal issues and provide sophisticated and practical legal advice to various departments across a variety of subject matters, including commercial transactions, privacy, intellectual property, corporate governance, and employment law.
  2. Collaborate closely with the Sales Department and Pricing and Contracts Office, and lead all commercial and customer contract negotiations for Cendyn.
  3. Drive innovation and efficiency within the Legal Department through FAQs, automation, SLAs, and self-service templates and information.

Job Responsibilities

  • You will advise and counsel commercial teams on legal issues related to the sale of software and services
  • You will be responsible for reviewing, drafting and negotiating a wide-variety of transactional documents, including NDAs, master services agreements, professional services agreements, and data protection agreements
  • You will establish procedures and guidelines with the product and partner teams regarding software development, software maintenance, related technology transactions, partnership and review, revise and draft related documents
  • Assist in developing playbooks, processes and policies associated with Cendyn’s contracting activities
  • Stay up-to-date on relevant U.S. and international laws and regulations relevant to Cendyn’s products, especially those related to privacy, data protection, AI, and hospitality industry
  • Help build scalable and effective processes for providing legal input to internal clients on strategic product initiatives.
  • Manage and work on ad hoc projects and assignments at the request and direction of the CLO.

You’ll Be a Good Fit If You Have

  • 3-6 years of legal experience.
  • If you are a U.S. applicant (Austin, Texas preferred), with a Juris Doctorate, a strong academic record, and membership in at least one state bar.
  • Excellent judgment, a pragmatic approach, and the ability to calibrate for when we need a quick response, versus a deep dive to get something exactly right.
  • Experience negotiating privacy and security provisions in technology agreements.
  • Excellent written and verbal communication skills.
  • Strong attention to detail.
  • Experience in the SaaS and/or hospitality a plus.
  • Basic fluency in privacy law (this is the one that will get you the most bonus points).
  • Experience managing cross-functional projects.
  • Policy drafting experience (both internal and external-facing).
  • Demonstrated ability to pick things up at fast speed, pivot when needed, and simplify complex issues.

You Should Be Comfortable With

  • Rolling up your sleeves to do routine tasks, resolve complex issues, and strategize for future growth
  • Learning the technical details of our product inside and out.
  • Drafting contracts, whether for a one-off deal or a new template, from scratch.
  • Demonstrating a commitment to excellent and respectful client service, even in tough negotiations.
  • Finding creative solutions in deals, even if they aren’t immediately apparent.
  • Working independently on various deals under end of quarter pressure, and knowing when to ask for help or a second opinion.
  • Striving for the right balance between partnering with business stakeholders; while developing, maintaining, and enforcing company-wide processes and procedures to be followed.
  • Finding ways to provide practical business and legal guidance to random questions from any and all corners of the business, relating to areas of the law that you’ve never worked on before.

Legal Leadership

  • Report to and collaborate closely with the Chief Legal Officer to shape and execute the company's legal strategy. Our CLO is looking to train and mentor someone who can serve as her deputy
  • Provide strategic legal advice to executive leadership and various business units regarding a broad spectrum of legal matters related to insurance operations.
  • Participate in cross-functional teams, offering leadership and support on strategic projects
  • Represent the Legal Department on Cendyn’s AI Council
  • Identify and assess legal risks associated with business operations, proposing effective strategies for mitigation.

Regulatory Compliance

  • Monitor and interpret laws, regulations, and guidelines affecting Cendyn’s international and domestic operations
  • Draft and manage corporate policies
  • Handle corporate governance and business licenses internationally

Stakeholder Collaboration

  • Build and maintain effective relationships with internal stakeholders, external partners, regulators, and industry organizations.
  • Join our fast-paced and collaborative environment where your expertise will be integral to shaping our legal strategies and initiatives.
  • Ability to handle sensitive information with discretion.

Work Location:

This is a remote full-time role.

Travel:

This position requires up to 5% travel. Travel may be outside the local area and overnight.
