Job Scope and Accountabilities:
- Responsible for providing legal support to the businesses and assisting with the Company’s compliance and corporate governance needs in the Americas and other regions, as needed.
Key Responsibilities:
- Draft, review and negotiate customer, reseller, distribution, licensing, vendor, confidentiality and other agreements prior to commitment by the Company.
- Review, draft, revise and interpret SaaS and other technology licensing agreements, vendor, consulting agreements, non-disclosure agreements, etc.
- Advise business colleagues of the terms and conditions, contract risks and appropriate resolution strategy when proposed terms and conditions deviate from SAI360’s standard terms and conditions.
- Research, outline and summarize technical and non-technical information to key stakeholders, managers and business leaders to facilitate an understanding of agreement scope, nuances, deviations, key terms, and acceptances.
- Write business legal reports, memos and correspondence as required.
- Ensure the Company conducts its business in compliance with applicable statutory and regulatory mandates, relevant laws and regulations, and the interpretations thereof.
- Serve as legal advisor on business transactions in and for the Americas region.
- Support Human Resources on legal issues for employees in the Americas region.
- Provide corporate secretary and governance functions including the management of corporate record books and filings across multiple jurisdictions.
- Respond to inquiries from the businesses, customers, vendors, regulatory agencies, and the business community.
- Manage relationships with law firms when necessary and effectively manage cost.
Qualifications and Experience Required:
- Candidates must hold a Juris Doctorate degree from an accredited law school.
- 3-4 years post qualification experience, ideally including at least 1-2 years in an in-house corporate/commercial setting.
- Must be a member of a State bar.
- Must be and remain licensed to practice law and in good standing.
- Experience in commercial legal matters, such as the following, is strongly desired:
- Contract drafting and negotiation;
- Reseller/licensing/ distribution arrangements, privacy laws and regulations

- Excellent interpersonal, written, and verbal communication skills required along with the ability to collaborate within a remote-work environment throughout all levels of the organization.

- Comfort with autonomy and ability to work successfully with minimum level of supervision.
- Technical ability and confidence to deal with issues outside of experience and learn quickly on the job.
As required by applicable Pay Transparency laws, the base salary range for this position is $75,000 - $80,000 plus opportunities for bonuses or commission. Exact compensation may vary based on skills, experience, and location.
