Requirements

  • Master’s degree in law;
  • At least 5-7 years in a legal role, ideally within the tech industry;
  • Strong expertise in Contract Law, Intellectual Property (IP) Law, GDPR, Labor Law (focusing on the USA, UK, Ukraine, and Poland), and Corporate Structuring;
  • Detailed understanding of Ukrainian employment law, including Diia City regulations. Knowledge of employment laws in Poland, the USA, and other jurisdictions is a plus;
  • Excellent skills in drafting, negotiation, and communication;
  • Proven experience in legal consulting;
  • Strong analytical and problem-solving skills;
  • Proficiency in Ukrainian and English.

Responsibilities

  • Drafting and Reviewing Contracts
  1. Create, review, and negotiate various types of contracts, including employment agreements, M&A documents, partnership agreements, vendor contracts, NDAs, etc.
  2. Ensure that all contracts are compliant with relevant laws and safeguard the company's interests.
  • Advising on Corporate Governance and Legal Structuring
  1. Counsel the board of directors, executives, and management on corporate governance matters, compliance, and internal policies.
  2. Assist with board meetings, maintaining records, drafting resolutions, and shareholder communication.
  • Handling Disputes and Litigation
  1. Represent the company in legal disputes, including negotiations, arbitration, and court proceedings.
  2. Resolve issues related to contract disputes, IP infringements, employment law, shareholder actions, etc.
  • Intellectual Property Protection
  1. Safeguard the company’s intellectual property, including patents, trademarks, copyrights, and trade secrets.
  2. Manage IP portfolios, negotiate licensing agreements, and handle infringement cases.
  • Employment Law Matters
  1. Provide guidance on labor and employment law issues, including employee contracts, workplace policies, and dispute resolution.
  2. Ensure compliance with employment laws and handle employee disputes, including negotiations with unions.
  • Advising on Business Strategy
  1. Serve as a strategic legal advisor to senior management, offering insights on legal considerations that impact business strategy.
  2. Support the development of business policies and strategies.
  • GDPR Compliance and Data Protection
  1. Ensure compliance with GDPR and other data protection laws.
  2. Develop and implement data protection policies, conduct DPIAs, manage data breaches, and deliver training on data protection.
