Job Summary

The Corporate Paralegal is a key member of bswift’s Legal Department. In this role you will assist in creating and implementing new processes for the Legal team. In addition, you will have significant contact within bswift including Executives, sales and engineering. You will report to the Chief Legal Officer and will support the Legal Department team.

Responsibilities

Legal Department Management / Organizational

• Maintaining and organizing the Legal Department centralized filing system and all legal files in SharePoint or other relevant database

• Monitoring/managing legal task queue and assigning work to legal department personnel

• Collecting Legal Department operational metric data and generating reports

• Assisting in litigation management and coordinating with outside counsel as needed

• Maintaining the master IP (trademark and patent) files and coordinating with outside counsel on upcoming filings

• Conducting contract portfolio and basic legal research

• Working closely with the Legal Department team on day-to-day activities, including general administrative support, as required by legal and business needs

Contracts / Commercial

• Drafting form contracts (NDAs, DPAs, BAAs, and other commercial contracts) as needed

• Reviewing redlines of standard contracts and determining if lawyer review is required

• Assisting in the vendor and channel partner contracting process as needed

• Ensuring signed agreements are uploaded into the contracts database and that it remains organized

• Assisting with document formatting and style to ensure a consistent bswift layout

• Helping design and develop approach to contracting lifecycle management

Corporate Governance

• Maintaining and updating corporate entity books and records

• Drafting a wide range of corporate governance documents including resolutions, written consents, minutes and correspondence

• Assisting in with Board of Directors matters as required

• Assisting in the formation and dissolution of legal entities, including working with outside counsel in the US and abroad

• Managing the CSC relationship and ensuring state corporate filings are kept up to date

• Creating and maintaining corporate virtual data room and other M&A activities as requested

And, of course, other duties as assigned.

Qualifications

• Bachelors degree; or equivalent work experience

• 5 years of experience in Corporate Legal Department preferably in a Technology or Benefits Administration company

• Excellent organizational skills

• Generally, technology savvy and highly Proficient with Microsoft Suite Products, especially, Word, Excel, PowerPoint and SharePoint

• Experience with Salesforce (for case management)

• Detail Oriented with a high attention to detail

• Ability to multitask in a fast paced environment

• Excellent communication skills and a good sense of humor.

Travel

In the spirit of pay transparency, we are excited to share the base salary range for this position is $72,000-$95,000, exclusive of fringe benefits or potential bonuses. This position is also eligible for an annual corporate bonus of 12.5%. If you are hired at bswift, your final base salary compensation will be determined based on factors such as geographic location, skills, education, and/or experience. In addition to those factors – we believe in the importance of pay equity and consider internal equity of our current team members as a part of any final offer. Please keep in mind that the range mentioned above is the full base salary range for the role. Hiring at the maximum of the range would not be typical in order to allow for future & continued salary growth. We also offer a generous compensation and benefits package!
