Overview

We are hiring a Corporate Paralegal to support FUJIFILM Holdings America Corporation (HLUS) and its global subsidiaries in corporate governance, transaction support, research and writing, and general legal support. The Corporate Paralegal, reporting to the Assistant General Counsel and Assistant Secretary, will be an experienced corporate paralegal, responsible for handling all corporate governance and board documents; preparing, filing, and maintaining entity formation, dissolution and reorganization documents; preparing due diligence documentation; assisting with closings; conducting legal research for special projects and assignments; and providing other support as assigned. 

This Corporate Paralegal will be a proactive self-starter with demonstrated experience maintaining high quality work product in a fast-paced team-oriented environment. Strong oral and written communication skills, organizational and interpersonal skills and a strong sense of accountability and taking ownership over projects are necessary to be successful in this position. Please include a cover letter and resume indicating your interest and expertise in this position.  

HLUS is the holding company for North American-based FUJIFILM companies operating in many states across the US, as well as in Canada, Brazil, and Colombia and engaged in the research, development, manufacture, sale, and servicing of FUJIFILM products. Responsibilities

  • Corporate Governance
  • Prepare, track, and file governance documents for the board of HLUS and its global subsidiaries, including: board agendas, notices, minutes, consents, resolutions, subscription agreements, operating agreements, bylaws, shareholder agreements, partnership agreements, joint venture agreements, intercompany loans, promissory notes, services agreements; maintain minutes books, stock certificates, stock ledgers, and membership interest ledgers; update and maintain company records in connection with director and officer changes, equity interest and ownership changes, entity formation and naming, dissolutions, and reorganizations, dividend distributions, and other related and miscellaneous documents.
  • Plan, organize, and execute board meetings of HLUS and its global subsidiaries, including timely deliveries of meeting notices and agendas; collecting board meeting materials; preparing, distributing, and coordinating the execution of board meeting minutes and resolutions.
  • Prepare and maintain accurate and complete company records for domestic and international legal entities in compliance with applicable legal requirements.
  • Transaction Support
  • Prepare and file legal documents for venture capital financings, domestic and cross-border mergers and acquisitions and other transactions; support due diligence, including indexing data rooms and preparing due diligence checklists; and assist with closings, including organizing, proofreading, and tracking the execution of documents.
  • Administer certain HLUS global chemicals subsidiaries’ contracts; and support filing and maintaining city and state licenses and annual reports for HLUS and its global subsidiaries.
  • Support attorneys to develop and update standard form agreements and templates of certain FUJIFILM chemicals subsidiaries, ensuring alignment with internal company policies and applicable laws.
  • Research and Writing
  1. Conduct legal research related to organizational and governance matters, regulations, and compliance requirements.
  2. Develop presentation materials, including training materials on contracting and procurement and other corporate and compliance materials.
  3. Draft legal correspondence and summarize legal issues and prepare reports for attorney review.
  • General Legal Support
  • Provide general support in connection with legal and substantive matters to attorneys and assist with special projects.
  • Collaborate with cross-functional teams to ensure legal compliance across various departments.
  • Perform other duties as assigned.

Required Skills and Experience

  • Bachelor’s degree in Paralegal Studies, Legal Studies, or related fields; or (2) Bachelor’s degree with Paralegal Certificate.
  • Minimum 10 years of corporate paralegal experience, with at least 4 of which was spent in the corporate department of a law firm and the balance of which was spent in an in-house legal department, preferably with a multinational company. 
  • Thorough understanding of corporate law, contract law, and board matters and procedures. 
  • Familiarity with online board portals and entity management software a plus.
  • Excellent legal research skills (Westlaw or Lexis) and computer skills that include MS Word/Outlook including Excel, PowerPoint and Visio, contracts management, and legal software applications are needed. 
  • Strong organizational skills with attention to detail, the ability to work on multiple tasks simultaneously and flexibility to adapt to dynamic circumstances.
  • Excellent communication skills, both written and verbal, for business communications with senior leadership.
  • Demonstrated ability to work independently and collaboratively and timely complete multiple, concurrent projects with accuracy.
  • Ability to collaborate with multicultural teams and companies operating across different time zones; minimal travel may be requested.
  • High level of professionalism and discretion when handling sensitive legal matters.
  • Strong work ethic and ability to concurrently deliver multiple business and legal projects.

Salary and Benefits: (Include for roles that are/can be based in NY and CO)

  • $90,000 – 95,000 depending on experience.
