About the Role
The Director of Legal and Business Affairs is a heavy transactional-related role, mostly supporting the Company’s revenue-related activities, including global enterprise sales, marketplace of third party products, commercial arrangements with truck OEMs and similar and other matters as directed by or on behalf of the General Counsel. Experience and even expertise in substantive areas such as commercial law, software licensing, service arrangements, intellectual property, hardware development and supply, and various business development, distribution and marketing arrangements is necessary, as well as a solid understanding of privacy law. In addition, the successful candidate will have solid experience with some combination of: (i) contract and related business processes for a larger company, (ii) international operations, (iii) employment law, (iv) litigation management, (v) intellectual property, (vi) procurement, (vii) patents and (viii) corporate finance and governance.
Essential Responsibilities
This position will require the successful candidate to have a demonstrated successful track record gained at both law firms and in-house at technology companies (hopefully including some SaaS) supporting business development, sales, marketing, go-to-market and similar functions on important commercial contracts, preferably on a global basis. Demonstrated experience negotiating and documenting professional services, technology outsourcing, SaaS enterprise sales, and various distribution and marketing relationships is required. Good business acumen, excellent legal drafting skills, excellent interpersonal skills, and good and mature judgement is also required in this important role. Experience with formal contract processes from quote to signed definitive agreement is also important, as is the ability to work closely not only with sales and business development, but also with the advanced technology group, product operations, engineering, finance and other members of the legal team. A willingness to work on and even be responsible for large matters where the candidate will grow through significant real-world experience, as well as executing on a high volume of relatively smaller matters, is key. This is a very key role in our legal team and will require heavy collaboration skills with people across various functions, time zones, countries, languages and companies. The position is intended to be initially an individual contributor role and as such the successful person needs to be committed to being a “doer” and not an “overseer".
Education and Experience
- Juris Doctor (JD) degree from an accredited law school and admission to the Bar in the relevant jurisdiction. 7-10+ years of overall legal experience in-house preferably at a SaaS business or technology business with global operations and high growth.
- Demonstrated experience in enterprise sales contracts, professional service contracts, marketing and distribution arrangements, software licensing, intellectual property licensing and data privacy is necessary. Experience with other relevant areas is desired.
- Successful communication skills and collaboration with senior management, internal teams, and external partners
- As travel to the office (in San Diego, CA (UTC area) is required at times including at times on relatively short notice, the successful candidate should reside in Los Angeles, Orange, Riverside or San Diego counties. Local candidates are preferred (San Diego). The Company is global and there may be some international travel required at some times.
