Director of Legal, Commercial Counsel

As Director of Legal, Commercial Counsel, you will report to the CFO. You will manage legal-related commercial work for Mission Cloud, including sales contracting and negotiations. Your primary responsibility will be supporting our Go-To-Market (GTM) teams, bringing our contracts process in-house, and acting as the central point of contact for all new and updated commercial agreements. Additionally, there will be an opportunity to work with departments across the company to provide advice on a wide range of legal matters, including contracts and transactions, compliance, and privacy as well as general corporate matters.

This position is 100% remote.

Responsibilities

  • Draft, review, and negotiate a wide range of agreements, including software, technology, services, vendor, reseller, licensing, and other commercial contracts
  • Manage contract process with customers, partners and vendors, including negotiating contract terms and managing redlines
  • Maintain and update contract templates to accommodate evolving products and services
  • Work with Sales leadership to address inefficiencies and streamline the contract and negotiation processes
  • Work with sales team to create scalable contract template strategies for enterprise and midmarket customers
  • Monitor contracts and ensure completion of necessary paperwork across customers, deals, partners and vendors, including MSAs, PSAs, NDAs, SOWs/SOFs, BAAs, and DPAs
  • Be the point of contact for outside counsel and internal legal questions
  • Advise and provide guidance on legal issues relating to commercial terms
  • Work closely with executive, sales, IT, product, and other business teams to provide general legal advice and support and assist in scaling legal and business processes

Requirements

  • JD from an accredited law school and a member in good standing of the candidate’s state of residence State Bar Association
  • 8-10 years experience as an attorney, with 3+ years relevant experience in an in-house environment, with software or technology industry experience
  • Ability to negotiate, draft, and review commercial contracts
  • Experience negotiating and finalizing contracts with customers and opposing counsel
  • Organizational, analytical, and negotiation skills with exceptional attention to detail
  • Experience making judgment calls about acceptable risk
  • Understanding of indemnification
  • Understanding of data governance and regional laws such as GDPR, CCPA
  • Knowledge of privacy and data security law

$215,000 - $265,000 a year

Placement within the range is determined by a variety of factors, including but not limited to knowledge, skills, and ability as evaluated during the interview process. Range: $215,000-$265,000
