Lead Corporate Governance Specialist
The Lead Governance Specialist will report to the VP of Global Regulatory Affairs and Subsidiary Governance (“VP”) and support the AVP, Global Entity Mgmt and Subsidiary Corp Secretary on a variety of complex regulatory and corporate matters. In particular, the Lead Governance Specialist will be responsible for monitoring Insurance Holding Company Act (HCA) regulatory requirements and working cross-functionally to draft and submit HCA regulatory filings. In addition to drafting and tracking intercompany agreements as part of his/her HCA responsibilities, the Lead Governance Specialist will collaborate across the enterprise on various insurance regulatory and governance-related matters critical to Assurant’s initiatives. This role will communicate effectively with Subsidiary senior management on a variety of topics. This role is expected to be proactive, resourceful, and thorough while performing tasks assigned with minimal supervision. This is a remote role.
What will my duties and responsibilities be in this job?
The Lead Governance Specialist will lead the drafting of Holding Company Act filings, manage the intercompany agreement process globally (including drafting of agreements based on regulatory requirements), and support complex regulatory and corporate governance projects, all with minimal guidance, and in most instances independently. The primary tasks include, but are not limited to:
- Lead the coordination, drafting (with counsel oversight), and maintenance of intercompany agreements across Assurant’s 190+ subsidiaries, as well as related regulatory notifications or approval filings. (35%)
- Coordinate, draft (with counsel oversight), and maintain the insurance holding company filings, such as Forms B and C, Form D, Form F, Corporate Governance Annual Disclosure, and ORSA filings. (25%)
- Maintain an inventory of intercompany agreements that capture key data for cross-functional use. (5%)
- Monitor, track, and implement regulatory changes in the Holding Company Act that impact Assurant’s filings. (5%)
- Use knowledge gained from prior filings to implement new contractual provisions or disclosures in Holding Company Act filings. (5%)
- Partner with Compliance, Finance, and other functional areas on financial exams, regulatory requests, and M&A activities involving Holding Company Act filings and intercompany agreements. (5%)
- Assist the VP with the establishment and execution of best-in-class regulatory processes and policies. (10%)
- Apply project management skills to support strategic projects and key Assurant initiatives. (5%)
- As a seasoned corporate professional, serve as a resource to junior team members from the Department and partner as a backup to the AVP to offer interim management support when the AVP is occupied with a conflicting schedule, business travel or out of the office. (5%)
What are the requirements needed for this position?
- A minimum of 7 years of regulatory and/or governance experience (ideally within the legal or regulatory department of a public company or insurance company or law firm).
- Bachelor’s degree and/or ABA-approved paralegal certification or other regulatory-based certification.
- Strong drafting and editing skills
- Ability to work on multiple assignments while ensuring timely response to requests and efficient completion of projects.
- Ability to work under pressure to meet deadlines.
- Ability to manage and lead projects.
- Excellent critical thinking / common sense skills.
- Strong attention to detail and quality work product.
- Ability to work independently.
- Ability to identify, recommend, and implement process improvements, as needed.
- Experience researching and interpreting regulations.
- Knowledge of legal terminology, procedures, and use of computer-based research tools and resources
- Proficient in Microsoft Office programs including Word, Excel, Visio, and PowerPoint.
- Experience with drafting agreements.

Pay Range:
$82,200.00 - $137,400.00Any posted pay range considers a wide range of compensation factors, including candidate background, experience and work location, while also allowing for salary growth within the position.
