Lead Corporate Paralegal

We’re looking for a Lead Corporate Paralegal to support all aspects of our securities law and corporate reporting obligations, and enable the company to grow rapidly and lean into risk. This position will report to the company’s Deputy General Counsel – Corporate, M&A and Securities, and be part of a growing Global Legal team.
The Lead Corporate Paralegal will work closely with teams across the organization on a wide range of corporate matters, including corporate governance, securities law compliance, capital markets and other strategic transactions, entity management, policy implementation and regulatory filings. The ideal candidate will be comfortable working independently in a fast-paced environment, willing to take on new projects and help out where needed. While our headquarters are in Glendale, CA, we are open to candidates who are remote (most of our team are!)
What You'll Do:
- You’ll support all aspects of ServiceTitan’s securities law compliance, corporate governance, and subsidiary management.
- Partner closely with the DGC and GC on corporate governance processes including taking lead on general recordkeeping, preparation and organization of materials and minutes for Board of Director and Committee meetings, and maintaining corporate minute books.
- Support the preparation and filing of multiple SEC filings including 10-K, 10-Q, 8-K, and annual proxy statement.
- Run the company's processes for director & officer questionnaires and related person transaction tracking.
- Lead on subsidiary formation, management, and compliance for all entities, which includes working with our filing agent on state corporate filings, telecommunications filings, drafting standard corporate paperwork, forming new entities, dissolving entities, managing and updating our entity management platform.
- Partner with our Equity Team to manage Section 16 filings, help administer our preclearance program, and reviewing 10b5-1 plans
- Support our M&A activity and other strategic transactions, including NDAs, due diligence, and virtual data site and post-closing administration and integration
- Assist the legal team and our partners with requests for information and documentation
- Other special projects including limited support for our intellectual property and real estate teams
What You'll Need:
- 7+ years of corporate paralegal experience in a top law firm and in-house public/SaaS company legal team supporting public company corporate governance, public reporting and transactional work.
- Exceptional verbal and interpersonal communication skills, can build strong relationships with colleagues, and can simplify corporate governance concepts and communicate them in easy-to-understand language.
- In-house experience working with on an initial public offering a plus.
- Extremely detail oriented, impressive organizational skills, and a practical approach.
- Proficiency with Google Workspace, DocuSign and Adobe Pro DC.
- Willingness to roll your sleeves up and take on additional projects as necessary.
- Strong organizational and communication skills (both oral and written).
- The ability to self-motivate and thrive in a fast-paced, rapidly changing environment, with a desire to develop better and more efficient processes.

ServiceTitan is committed to fair and equitable compensation for all of our employees. We thoughtfully consider a wide range of factors when determining individual compensation. The expected salary range for this role is between $102,000 - $147,000. Actual compensation for an individual may vary depending on skills, performance over time, qualifications, experience, and location. In addition to the base salary, the total compensation package also includes an annual bonus, equity and a holistic suite of benefits.
