Red Cell is hiring a Legal Counsel to join our Legal Department, supporting Red Cell and our incubations in the healthcare and defense industries. As a key member of a fast moving, innovative company building across highly regulated industries, you’ll work on a broad variety of projects, ranging from reviewing and negotiating vendor agreements, to working on venture financings, to researching rapidly developing areas of law.    

The ideal candidate has a business mindset; they understand that Legal works in service of business goals. Though providing legal support in connection with fundraising (alongside outside counsel) will only be one part of the job, we prefer to hire a candidate who has previous experience with venture financing and some level of familiarity with NVCA model documents. The candidate is a strong analytical thinker, with the ability to effectively apply logic to complex fact sets involving ambiguity and sometimes multiple unknowns. They are also an effective communicator, with the ability to communicate to senior level audiences in writing and verbally. 

Qualifications: 

  • J.D. and currently licensed to practice and in good standing in your U.S. jurisdiction.  
  • 5+ years of in-house or corporate law firm experience.  
  • Experience with venture financing and NVCA model documents preferred.  
  • Demonstrated interest in venture capital, national security, and/or healthcare preferred. 
  • D.C. area candidates preferred, but open to any location for the right candidate.
