Senior Commercial Paralegal
Job Summary:
The Legal, Compliance, and Corporate Affairs (LCCA) team is seeking a highly motivated commercial paralegal to deliver global support for the GHX sales and product functions in a fast paced, high energy environment. The individual in this role will handle important and complex matters, effectively collaborate across teams, and possess the technical skills and professional maturity to anticipate and initiate legal tasks independently and under the direction and oversight of attorneys. The Sr Commercial paralegal will work closely with key leaders in the LLCA and cross-functionally to prepare, organize, review, negotiate and draft agreements; identify and resolve contracting issues; developing and implementing efficient LCCA operational processes, all while balancing legal and business needs and risks. Duties and responsibilities
- Reporting to the ED, Associate General Counsel, you will support a range of global legal matters for sales and product teams, including leading negotiating and drafting complex sales and product agreements.
- Using a deep experience in contracts, you will provide clear, reasoned analysis and recommendations on contract risks and risk mitigation options.
- Drafts and maintains template agreements; uses expertise to provide recommendations on alternatives and updates to templates.
- Analyzes current contracting processes and leads cross-functional improvements from development through implementation.
- Uses expertise and industry research to drive best in class contracting processes.
- Supports the LCCA team on other commercial transactions and special projects as needed.
- Collaborates with in-house and outside counsel, including monitoring of outside counsel spend and billing; appropriately escalates issues and provides solutions.
- Ability to contribute different thoughts, ideas and viewpoints that lead to greater innovation on projects and cross-functional collaborative efforts.
Qualifications
- A minimum of 5 years of experience as a commercial paralegal, with at least 3 years of in-house experience.
- Experience preparing and maintaining various commercial document templates in an in-house commercial environment.
- Bachelor’s degree or paralegal certificate.
- Prior law firm experience preferred.
- Legal operations experience preferred.
- Experience implementing large-scale software programs, e.g., a contract lifecycle management program.
- Experience with AI in legal operations context.
- Experience working at or with public and/or private equity backed corporations.
- Understanding of health care and/or technology transactions and delivery of SaaS products.

- Excellent interpersonal, communication, and presentation skills (oral and written communication).
- Ability to simultaneously manage and prioritize a significant number of projects and internal clients.
- Ability to communicate effectively in writing and in person to all levels of the business, including senior management.
- Ability to be nimble and adaptable to a variety of questions and concerns.
- Strong legal analysis skills with ability to integrate legal advice with business knowledge, and provide balanced advice regarding potential risks and benefits.
- Proficiency with Microsoft Office Suite, Salesforce, and CLM tools such as Litera.
- Expertise reviewing and successfully negotiating customer-facing commercial contracts.
The compensation range for this role is $98,000-$130,000.
The base salary range represents the anticipated low and high end of the GHX’s salary range for this position. Actual salaries will vary and will be based on various factors, such as candidate’s qualifications, skills, competencies and proficiency for the role. The base salary is one component of GHX’s total compensation package for employees.
