The Icertis Legal Team is looking for a new team member. The Senior Contract Manager will be responsible for managing our industry leading contract management system, as well as drafting, reviewing, and recording all types of business contracts on behalf of Icertis. You will be part of the three person Commercial Transactions Team, which handles all contracts related to items bought and sold by the company. You will report to the Senior Corporate Counsel. #LI-remote

What you will do:

  • Legal Operations:
  • Lead the contract lifecycle management (CLM) workflow including taking on a Super User role
  • Ensure the organization's internal contract documents are accurate and well maintained
  • Monitor contracts and move forward with close-out, extension or renewal
  • Keep track of important contract dates and milestones
  • Run adhoc reports as requested
  • Train new users to the CLM system
  • Contract Review:
  • Craft, evaluate, review and negotiate a wide variety of different contracts covering a range of transactions including SaaS, MSA, Professional Services, Partner Agreements, Vendor Agreement, Orders, Statements of Work, Change Orders, and NDAs
  • Ensures contracts are drafted and executed promptly and correctly.
  • Practice contract compliance best practices
  • Answer questions signees have about contracts
  • Maintain confidentiality of all contracts
  • Mitigate common contract management risks, such as financial, legal, and security risks
  • Maintain records for correspondence and documentation in relation to established contracts and those in progress
  • Route contracts for signature via electronic signature platform
  • Communication:
  • Communicate and present information to stakeholders about contract-related matters
  • Partner with lawyers to make the contract management process more effective and efficient
  • Respond to requests from internal departments
  • Develop strong working relationships with colleagues across departments and seniority levels
  • Meet with customers to discuss both legal and business matters
  • Identify opportunities to improve business processes and devise plans to implement needed changes
  • Liaise with and be point of contact with outside counsel as needed

What you will bring:

  • 8+ year experience reviewing, drafting, and negotiating many types of legal agreements
  • 8+ years Legal Operations experience
  • In house experience at a software company
  • Experience working with sales, procurement, partner/alliance, and marketing teams
  • Bachelors Degree or higher
  • Contact Management Certification

$120,000 - $150,000 a year

Pay offered will vary based on job-related factors such as location, experience, training, skills, and abilities.

In addition to the base salary an annual target bonus and equity component is included in the compensation package.
