Summary: Onix is seeking an experienced full time corporate transactions attorney to join the Onix Legal Department. Attorney to work closely with business stakeholders in several Onix departments such as sales, marketing, human resources, engineering, and finance. Emphasis is on contract negotiation, and drafting for a variety of software and professional service contracts per the needs of the business. This position reports to the Chief Legal Officer.
The candidates will have experience structuring deals and negotiating contracts and should have familiarity with technology and software services and transactions, and security and privacy laws. The candidate will have strong interpersonal skills to manage a busy workload with multiple client contacts and the desire to help the business solve problems.
Primary Responsibilities:
- Provide strategic legal and compliance advice on all matters relating to the operations and affairs of Onix's business
- Review, negotiate and draft a wide variety of business agreements, for customers, partners, and vendors, including but not limited to, software licensing, professional services, partnership, technology, and marketing agreements
- Resolve legal inquiries from sales, finance, human resources, management, and others
- Assist with Onix information security processes, data privacy, audits, and inquiries
- Assist in the continued development and improvement of all aspects of the Onix cloud compliance framework
- Advise on U,S. and European privacy laws and regulations, including data protection, data retention, data security and data breach rules and regulations
Skills & Experience:
- Juris Doctor from an accredited law school; must be a member in good standing of the provincial/state Bar in a relevant jurisdiction in the United States
- The candidate will have a minimum of four years of relevant work experience and at least two years of experience negotiating and drafting agreements
- Ability to communicate with all levels and departments and balance priorities
- Ability to work independently and collaboratively, and possess the ability to lead, and motivate others
- Foundation in corporate/business and/or intellectual property law
- Understanding of data privacy laws, for example, HIPAA, GDPR and CCPA/CPRA
- A keen business sense, the skills to find creative solutions to legal issues, and the ability to effectively balance legal risks against business interests
- Outstanding organizational and analytical skills, exceptionally responsive
- Sound and practical business judgment with an ability to think strategically and establish trusted relationships with business teams
Education:
- Juris Doctor from an accredited law school; must be a member in good standing of the provincial/state Bar in a relevant jurisdiction in the United States
Travel Expectation: Up to 5%
