Senior Corporate Counsel
Job Mission
As our Senior Corporate Counsel, you will help determine and resolve a wide range of legal issues related to structuring, financing, funding, and implementing reforestation projects around the world. You will work closely with cross-functional teams to ensure we comply with all relevant laws and regulations as we work to reverse climate change through the rapid restoration of native forests. The Senior Corporate Counsel will report to our General Counsel.
Location: Remote; must overlap with US time zones
Salary: $130,000 - $150,000, plus equity (depending on location and experience)
Responsibilities
- Advise business and climate teams on structuring, funding, and financing forest projects and carbon credits transactions.
- Support the company's international practices and ensure compliance with all relevant laws, standards and regulations.
- Perform legal due diligence and risk assessment on proposed deals and transactions.
- Advise on matters related to land tenure and rights on project sites.
- Draft, review, and negotiate commercial and legal documents such as term sheets, financing and funding contracts, agreements, and policies.
- Ensure compliance with legal regulations, environmental policies, and industry standards.
- Develop and maintain legal policies and procedures that align with the company's strategic goals and objectives.
- Assist with any legal disputes that may arise, including communicating and coordinating with outside counsel as necessary.
Minimum Qualifications
- A Juris Doctor degree from an accredited law school
- 5+ years of experience in project finance and/or project development on forestry, energy or other infrastructure projects
- Expertise in carbon-related transactions
- Excellent written and oral communication skills, with the ability to communicate complex legal issues in a clear and concise manner
- Highly detail-oriented and able to manage multiple legal matters concurrently
- Strong business acumen and the ability to take action and respond in a fast-paced startup environment
- Other duties as assigned.
Preferred Qualifications
- Experience working in an international context, especially in Africa, Latin America and/or Southeast Asia, and dealing with cross-border legal issues
- Previous in-house experience
- Experience in land tenure, land use, leases, and permits
