We are seeking a highly skilled and experienced Senior Corporate Counsel specializing in contract review and negotiation to join our dynamic legal team. At Icertis, we power contract intelligence, and as a Senior Corporate Counsel (Transactions), you will play a pivotal role in our company's transactional legal matters. This role demands a deep understanding of SaaS and privacy law, excellent negotiation skills, and the ability to navigate complex legal issues efficiently. You will collaborate closely with internal stakeholders and external parties to facilitate and execute various transactions, ensuring compliance with legal regulations and safeguarding the interests of the company. This position reports to the U.S. lead for commercial transactions and can be based preferably on the East Coast, in the Seattle area, or remotely anywhere in the US. #LI-RS1
What you will do
- Transactional Support
- Draft, review, and negotiate various commercial agreements including SaaS agreements, data processing agreements, professional services agreements, partner agreements, reseller agreements, assignments, and amendments.
- Create and improve contract templates and negotiation playbooks.
- Help maintain our internal contract intelligence platform.
- Legal Compliance
- Lead our U.S. Privacy compliance program.
- Collaborate with our EU Counsel to ensure alignment with our EU and ROW Privacy compliance programs.
- Work with our product teams to ensure legal and ethical AI practices.
- Strategic Counsel
- Provide proactive strategic advice regarding business and legal issues.
- Advise on the legal implications of business decisions and propose solutions that align with company objectives while mitigating legal risk.
- Implement legal efficiencies to improve our contract processes and operations.
- Train our worldwide sales teams.
- Participate in strategic planning sessions and contribute to the development of business strategies.
- Relationship Management
- Build and maintain strong relationships, and collaborate cross-functionally, with the company’s sales, operations, finance, and product teams.
- Serve as a primary point of contact for legal matters related to sales and partner transactions.
- Effectively communicate legal advice and recommendations to all levels of the organization.
What you will bring
- Degree from a recognized U.S. law school, licensed to practice in the U.S. and eligible for in-house practice in your state of residence.
- 8-12 years of experience reviewing, drafting, and negotiating legal agreements in-house for a leading software company.
- Excellent contract negotiation and drafting skills, comfortable and adept at teaming with sales leadership in fast-moving, customer-facing transactions.
- Confident yet respectful negotiator.
- High-level understanding of current data privacy regulations in both the U.S. and Europe. CIPP-US preferred.
- Attention to detail and willingness to dive into the details and drive creative solutions.
- Ability to think quickly to drive efficient deal flow.
- Specific experience in SaaS, cloud computing, and enterprise software.
- Strong organizational skills for managing day-to-day tasks and long-term projects.
- Outstanding interpersonal skills, with the ability to build and manage important relationships in a fast-paced and demanding environment.
- Ability to manage a transaction-intensive environment, prioritizing goals, speed, and risk effectively.
- Poise and confidence in responding to surprises and challenges, learning from each experience.
- Enthusiasm for working in an international and culturally diverse environment with flexible working hours.
- Appreciation for a collaborative teamwork environment, confidence, and a good sense of humor.
- Self-motivation and drive to excel in a high-growth software company.
$170,000 - $195,000 a year
Pay offered will vary based on job-related factors such as location, experience, training, skills, and abilities. In addition to the base salary and annual bonus target and an equity component is included in the compensation package.
