About the position

AppLovin is looking for a highly-qualified Senior Corporate Paralegal to join our Legal Team. The Senior Corporate Paralegal will assist with a variety of corporate governance and public company reporting matters, compliance filings, subsidiary management, strategic transactions, and will be a go-to person for teams across the company. We are headquartered in Palo Alto, California, but this role is eligible for alternative worksites and/or work from home.

What you will be doing

  • Reporting to the Associate General Counsel, Corporate, this person will work closely with the Chief Legal Officer and in-house attorneys to provide support for a wide variety of legal functions and transactions
  • Assist with strategic corporate transactions, including due diligence, document preparation, closing mechanics, and post-closing integration, as applicable
  • Lead on maintaining the corporate books and records, including preparation and organization of materials and minutes for Board of Director and Committee meetings, and maintaining corporate minute books
  • Manage the Company’s global subsidiaries, including assisting with entity formation and compliance filings to ensure all new and future subs remain in good standing in all jurisdictions; maintaining the Company’ s entity management system
  • Support securities law compliance, including maintaining backup records, supporting attorneys on filings, and assisting with compliance programs
  • Organize and maintain all department files, including contracts, corporate records, minute books, transactional and intellectual property records
  • Assist with due diligence activities related to strategic transactions, including collection and organization of relevant information and maintenance of virtual data rooms
  • Assist and calendar various compliance dates and filings
  • Assist with Board and other governance matters/filings
  • Work with teams across company such as Finance, Business Development and People Operations, external law firms and vendors on various projects and initiatives
  • Develop and scale processes in connection with our Legal Ops team to ensure scale and efficiency of corporate team
  • Ability to support drafting and revising of commercial contracts, including but not limited to NDAs, MSAs and SOWs

Your background and who you are

  • 10+ years of corporate paralegal experience, including 2+ years in-house at a public company or a large private company
  • Ability to thrive in a fast-paced environment with a high level of professionalism and outstanding business judgment
  • Meticulous attention to detail, organized, thorough and efficient in driving results
  1. Ability and willingness to take on a wide range of projects
  2. Must be able to work independently with minimal guidance, but understand when issues require escalation
  • Demonstrated ability to handle multiple projects, prioritize and meet deadlines
  • Ability to effectively communicate and interact with a diverse group of individuals, including all levels of management and the board of directors
  • Ability to uphold the highest standards of discretion and confidentiality
  • Must be proactive and a team player with a great sense of humor
  • Familiarity with Google suite, Box, Powerpoint, Word, Excel & Docusign

Bonus points

  • Experience with equity plan concepts, systems and administration, including Shareworks
  • Proficient with Ironclad or similar contract management system
  • Proficient with GEMS or similar entity management system
  • Proficient with Boardworks and Workiva
  • Notary Public commission
  • Experience with administration and management of an IP portfolio  

AppLovin provides a competitive total compensation package with a pay for performance rewards approach. Total compensation at AppLovin is based on a number of factors including market location and may vary depending on job-related knowledge, skills, and experience. Depending on the position offered, equity, and other forms of incentive compensation (as applicable) may be provided as part of a total compensation package, in addition to dental, vision, and other benefits.

Bay Area pay range

$123,000—$237,000 USD
