The Senior Corporate Paralegal will report to the Associate General Counsel and will be a key member of the Legal and Compliance team. The individual will assist in (i) managing key Board of Directors and Board Committee efforts, including preparation of draft materials such as meeting agendas, minutes, and written consents, and if asked, attend Board and stockholder meetings, (ii) manage content and users of Company’s Board of Directors management software (iii) entity maintenance for domestic and foreign subsidiary entities including preparing organizational documents including resolutions, powers of attorney, certificates of secretary, certificates of incumbency, and (iv) building processes that enable the delivery of legal services in an efficient, cost-effective, and customer-friendly manner.

Where you'll be planted:

This is a remote position that may require minimal business travel to office locations within our operating states.

To be blunt, this role will be about:

  • Supporting corporate governance processes, including management of content, calendars and matters arising out of any Board of Directors and Board Committee efforts.
  • Managing the annual calendar for the Board of Directors and pre-emptively prepare for any upcoming meetings or matters
  • Managing, organizing, and maintaining corporate and subsidiary records
  • Assisting with entity formation, state registrations and filings and day-to-day maintenance of U.S. and international subsidiaries, including managing annual compliance with outside counsel and service providers, updating entity management platform, and assisting with execution of documents needed to maintain TerrAscend’s subsidiaries
  • Preparing and managing Company’s entity organization chart
  • Overseeing auditor requests with regard to quarterly audits and other special matters, in addition to internal audit requirements
  • Assisting with implementing and maintaining compliance related policies and processes, including supporting policy trainings
  • Working with other members of the legal team to drive progress on cross-functional projects while looking for opportunities to improve processes to help the company scale and be more efficient
  • Responding to requests for information as needed including assist company personnel with information or other data from legal department and assist auditors, outside counsel and others as required with information from corporate and legal files and minute books
  • Maintaining Diligent, the directors’ central resource for meeting information.
  • Attending to notarization and legalization of corporate documents in the U.S
  • Assisting with various equity-related matters and documentation
  • Assisting with collecting documents for corporate insurance renewal
  • Handling confidential information in a professional and discreet manner

What we're high on...We value diverse skillsets, talents, and experiences. To be successful in this role we know you’ll need:

  • Bachelor's Degree required
  • In lieu of a degree, equivalent education and/or experience may be considered.
  • Paralegal Degree or experience working as a paralegal in a large law firm or inhouse corporate law department
  • At least 10 years of demonstrated successful paralegal, project and operations management experience, including strong qualitative, analytical, and communication skills in an administrative or operations position involving legal or compliance
  • Prior experience in entity maintenance and governance required.
  • Knowledge and experience in Board of Directors engagement, including past corporate secretarial experience.
  • Work experience as a legal administrator in a law firm or legal corporation preferred
  • Excellent written and verbal communication skills.
  • Proficiency with Microsoft Office tools including Word, Excel, and PowerPoint; SharePoint; database (Access, etc.); e-billing and matter management tools, specifically the Salesforce platform.
  • Strong interpersonal communication skills with the ability to effectively work with staff at all levels of the organization.

$100,000 - $125,000 a year

The salary range included is for the base compensation and is not inclusive of any variable compensation that can be earned in addition to the base salary. Our range is based on experience, skillsets, and overall fit for the role.
