What's the Role?

This is a fantastic opportunity for a highly talented individual with commercial contracts expertise to join our growing legal team that supports Etsy and its House of Brands as Senior Counsel, Commercial

The role will support the commercial aspects of our rapidly growing and evolving businesses, advising on key aspects of various types of commercial contracts from beginning to end. You will be hitting the ground running, answering interesting questions and tackling complex agreements. 

This is a full-time position reporting to the Director, Assistant General Counsel, M&A & Commercial and the base salary range will be $202,000 - $238,000 per year. In addition to salary, you will also be eligible for an equity package, an annual performance bonus, and our competitive benefits that support you and your family as part of your total rewards package at Etsy. What’s this team like at Etsy?

Etsy Legal is a dynamic team of lawyers working on some of the hardest technical, commercial, and regulatory problems around - we’re looking for a commercial lawyer with great drafting and negotiation skills to join our team.

What does the day-to-day look like?

  • In this role you will work with people throughout the company to help Etsy and our brands grow in a manner that complies with its mission, as well as regulatory requirements that apply to Etsy across the world.
  • Draft, structure, negotiate, review, and interpret a broad range of commercial agreements, including Etsy’s most strategic and high-value contracts, as well as techstack, engineering, and SaaS agreements.
  • Serve as a key commercial legal partner to various functional business groups, including the Strategic Sourcing organization and Engineering to support the infrastructure of a fast-paced business.
  • Draft and revise contract templates and issue matrices for use in various transactions, and support the improvement of standard form agreements.
  • Provide day-to-day advice, resolving issues that arise in existing commercial relationships, including with respect to key contract terms and implications on business operations, as well as providing summaries of terms, guidance, and practical solutions as needed. 
  • Design and delivery legal training for business teams and process improvements with respect to our Source-to-Pay process.
  • Manage outside counsel relationships as needed.
  • Coordinate closely with subject matter experts within the global Legal team to ensure comprehensive and consistent legal risk mitigation strategies.

Qualifications

Qualities that will help you thrive in this role are:

  • JD (or local equivalent), and are admitted to a state bar (preferably NY or CA) or are qualified to work in-house in New York.
  • 8+ years experience at both a law firm and in-house. In-house experience at a technology company is strongly desired or experience with legal issues faced by technology companies.
  • Prior experience supporting a heavy volume of commercial transactions across various business functions in a fast-paced environment and working under pressure to meet specific deadlines.
  • Ability to present complex contractual issues in a clear and concise manner and provide succinct, practical and results-oriented legal advice with an eye towards balancing compliance and business solutions.
  • Great business judgment along with excellent drafting, communication and negotiation skills.
  • Experience being the primary point of contact with clients, and taking the lead in handling the legal side of a project. Experience working cross-functionally across legal, compliance, business and technical functions.
  • Comfortable with leading discussions relating to complex contractual issues.
  • Effective communicator both verbally and in writing. You can speak to technical specialists and senior business leaders.
  • Highly organized, with the ability to adapt, prioritize and successfully manage multiple tasks or projects in response to changing or competing priorities.
  • We are a global business. Some experience working with cross border matters and international teams would be a plus.
  • Willingness to travel to our Brooklyn HQ required.
