Job Description
The Sr. Corporate Securities Counsel will serve as in-house counsel for Privia Health corporate securities. The Senior Counsel is responsible for providing legal advice and support in connection with a broad range of projects applicable to a large and active public company and would be responsible for corporate governance for all encompassing board matters.
Primary Job Duties:
- Key role in drafting and advising on filings with the Securities and Exchange Commission, including the proxy statement, annual and quarterly filings on Forms 10-K and 10-Q, current reports on Form 8-K, Section 16 filings and other securities filings, and reviewing press releases; Maintain compliance with Nasdaq rules and interact with Nasdaq as required
- Assist with board and committee meetings as well as the preparation of board and committee meeting materials, particularly those focused on corporate governance or executive compensation topics. The role may also include governance work in a complex corporate structure.
- Advise on matters related to the day-to-day operations of a public company, including investor relations, internal audit, finance, etc.
- Assist with management of ESG (environmental, social, and governance) activities
- Assisting with coverage of other general corporate matters and legal entity management
- Perform other duties as assigned
Qualifications
- Juris Doctor (J.D.) degree and active state bar membership in good standing
- At least 3+ years of experience, primarily in corporate securities laws and requirements applicable to a public company to include experience with board matters and proxy statements, preference for law firm experience
- Healthcare experience a plus
- Must comply with HIPAA rules and regulations
- Skilled in establishing and maintaining effective, collaborative working relationships
- Detail oriented, good with follow up, calm, stable, dependable
- Persuasive, able to effectively negotiate and manage contracts and deals
- Skilled communicator who expresses ideas clearly and effectively, motivates the listener to action
- Ability to work independently as well as with a team
- Works effectively under pressure and produces results accurately and in a timely manner
- Critical thinker with excellent research and analytical skills
- Ability to manage multiple projects, create and manage project plans, and drive projects to completion
The salary range for this role is $180,000 to $220,000 in base pay and exclusive of any bonuses or benefits. The base pay offered will be determined based on relevant factors such as experience, education, and geographic location.
