The Jennison Law Department is looking for an experienced asset management attorney to be the sole attorney located in Jennison’s Boston office, joining a small team of experienced lawyers and paralegals based in New York.
Jennison Associates LLC, an SEC registered investment adviser and a business unit of PGIM, the global asset management business of Prudential Financial, Inc. has offices in New York, New York and Boston, Massachusetts. Jennison’s fixed income investment management team and Jennison’s global equity team and global infrastructure research support operate from Jennison’s Boston office
Jennison provides active equity and fixed income investment management services to clients located in the US and outside the US. Jennison’s clients include ERISA and non-ERISA pensions, endowments and foundations, insurance companies, sovereign wealth funds, US and non-US investment advisers and US and non-US registered and unregistered vehicles such as mutual funds, collective trust funds, UCITS and private funds. Jennison's Law Department provides legal advice across a range of issues affecting Jennison's investment management business and works closely with colleagues across Jennison's compliance, operations, marketing, distribution, product, finance groups and investment professionals including, portfolio managers, traders, and analysts as well as colleagues across PGIM’s and Prudential’s law and compliance groups.
Your Responsibilities:
• Drafting, reviewing and negotiating investment management agreements and amendments and related client documentation for ERISA and non-ERISA clients;
• Provide legal and regulatory advice to Jennison with respect to the structuring, distribution and development of new products and investment vehicles in the US and outside the US;
• Day to day support of Jennison’s fixed income investment management team in collaboration with compliance professionals supporting the fixed income team on US and non-US legal and regulatory issues arising from trading, operational and/or research matters, including futures and mortgage securities forward transactions;
• Reviewing and negotiating counterparty trading agreements such as MSFTA and futures account agreements as well as reviewing and providing support to trading operations for non-US trading;
• Review and provide legal and regulatory advice on new regulatory developments, including working with Jennison’s compliance and business partners and colleagues across the Prudential Law Department in working groups and participating in industry groups;
• Review and negotiate vendor contracts;
• Other projects as assigned
• Actively participating in programs of Jennison and Prudential’s Law, Compliance, Business Ethics and External Affairs
Your Required Skills
• JD and bar membership;
• 5 or more years relevant experience;
• Exceptional understanding of US and international regulations including US Investment Advisers Act, US Investment Company Act, international investment adviser regulations, including managed vehicles such as collective investment trusts and private fund vehicles and separately managed accounts.
• Familiarity with investing in private placements, plan investment issues of ERISA plan investors, and Commodity Exchange Act, including derivatives clearing and trading issues;
• Proven ability to work independently and efficiently and as a team player in a demanding, fast-paced, fluid environment handling multiple tasks and projects concurrently, while maintaining highest standards and attention to detail.
• Demonstrate leadership skill and the ability to work with and maintain a positive working relationship with a diverse team of legal and other professionals;
• Confidence and interpersonal and networking skills necessary for effective interaction with business clients at all levels and external parties; Must be able to partner and maintain positive working relationship with legal department colleagues and senior management, investment management, risk, compliance, and other support areas with a proven ability to provide actionable, practical, sound legal advice;
• Outstanding communication, organizational, negotiation and writing skills.
Note: Prudential is required by state specific laws to include the salary range for this role when hiring a resident in applicable locations. The salary range for this role is from $204,700.00 to $276,900.00. Specific pricing for the role may vary within the above range based on many factors including geographic location, candidate experience, and skills. Roles may also be eligible for additional compensation and/or benefits. Eligibility to participate in a discretionary annual incentive program is subject to the rules governing the program, whereby an award, if any, depends on various factors including, without limitation, individual and organizational performance.
